Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Ungrid.ai website and monitoring service (“Service”) operated by Matthew Shilts (“we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Ungrid.ai provides monitoring and alerting services for off-grid and hybrid power systems. The Service connects to third-party monitoring platforms using credentials you provide, reads system data, and delivers alerts and summaries via email.

The Service is read-only. Ungrid.ai does not send commands to, control, or modify your power system equipment in any way.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Third-Party Credentials

The Service requires login credentials for third-party monitoring platforms. By providing these credentials, you represent that you are authorized to use them and grant us permission to use them solely to read your system data. We store these credentials in encrypted form using Google Cloud Secret Manager.

We are not responsible for changes to third-party platforms that may affect the Service's ability to read your data.

5. Free Trial and Pricing

We offer a 14-day free trial for new accounts. No credit card is required for the trial. After the trial period, continued use requires a paid subscription. Subscription pricing is as listed on our Pricing page. We reserve the right to change pricing with 30 days' notice to existing subscribers.

6. Payment and Billing

Payment is processed through Stripe. By subscribing, you authorize recurring charges (monthly or annual). You may cancel at any time.

• Cancellation takes effect at the end of your current billing period
• No partial refunds for unused portions of a billing period, except within the first 30 days of a new paid subscription
• You are responsible for any applicable taxes

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to monitor systems you do not own or have authorization to monitor
• Share your account with others or resell access to the Service

8. Limitation of Liability

The Service is provided for informational monitoring purposes only. Ungrid.ai is not responsible for:

• Decisions you make based on alerts or data provided by the Service
• Equipment damage, power outages, or losses resulting from delayed, missed, or inaccurate alerts
• Service interruptions caused by third-party platform outages, internet connectivity issues, or force majeure events
• Any indirect, incidental, special, consequential, or punitive damages

Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that alerts will be delivered within any specific timeframe, that the Service will be uninterrupted or error-free, or that the data provided will be accurate or complete.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service at any time. We will make reasonable efforts to notify subscribers of significant changes.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately, we will delete your stored credentials and account data, and provisions that by their nature should survive (including Limitation of Liability, Disclaimer of Warranties, and Indemnification) will survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
